1. Acceptance of Terms

1.1. The website Mazibo.com and Services described in the Website is provided by Crewind Communications Pvt. Ltd. Any subscriber to the Services (“You”, “Your”) is governed by the following Terms of Service.

1.2.Crewind Communications reserves the right to modify all or part of these Terms with prior notice to You. Your continued use of the Services after change will constitute an acceptance of these Terms.

2. Description of Services

Crewind Communications provides the following Services:-


2.1 Virtual Employee Service Through the Virtual Employee Service, You can hire dedicated resources, who will work on Your projects using infrastructure provided by us, in a virtual captive/office model where the unit created functions as a remote office of Your company. The hired resources mainly communicate mainly via the Internet with the head office thus becoming Virtual Employees.


Main features of the Virtual Employee Service include:

Recruitment of resources such as web and graphic designers, web developers, administrative staff, managers, data-entry operators and Search Engine Optimisation (SEO) experts.

Facility for client companies to participate in recruitment interviews via web cams.

Provision of infrastructure such as office space, workstations, and communication technology including hi-speed internet connections, phone lines, video-conferencing software.

Secure development environment with access systems.

Online payment through Paypal, 2CO or credit cards.

3. Intellectual Property


3.1.While Crewind Communications will provide maximum security to products and processes in the development environment, Crewind Communications will not be liable for any Intellectual Property theft.

3.2.Any Crewind Communications developed, licensed, or owned technology, and all rights, title, and interest in and to such technology will remain solely with Crewind Communications. The parties agree that they will not, directly or indirectly, reverse engineer, decompile, disassemble, or otherwise attempt to derive source code or other trade secrets from the other party.

3.3.Notwithstanding anything to the contrary in this Terms and Conditions, You will not attempt to prohibit or enjoin Crewind Communications at any time from utilising any skills or knowledge of a general nature acquired during the course of providing the Services, including, without limitation, information publicly known or available or that could reasonably be acquired in similar work performed for another customer of Crewind Communications.

3.4.Crewind Communications may be required to disclose information to individuals asserting rights under the Information Technology (IT) Act 2000 (India) and the CrPC (Criminal Procedure Code, India), and You expressly authorize Crewind Communications to comply with any and all lawful notices, court orders, or warrants without prior notice to You.

3.5.Mazibo.com, Crewind Communication, its product and service names all related logos are trademarks of Crewind Communications. You will not use Crewind Communications' name or logo without Crewind Communications' written permission.

4. Payment for Services


4.1.You will pay all fees as applicable to the services provided to You.

4.2.Payment can be made via PayPal, 2CO or credit cards.

4.3.Recurring fees will be charged in advance to your credit card, PayPal or 2CO account.

4.4.In case your credit card, PayPal or 2CO account is invalid or you have past payments pending, Crewind Communications reserves the right to terminate your services. Crewind Communications will not be responsible for any loss incurring from such termination.

4.5.In the event You fail to pay charges, Crewind Communications may take appropriate to recover the dues.

4.6.Crewind Communications has the right to modify its charges with advance written notice to You.

5. Termination


5.1.You may cancel or terminate our services at any time with prior notice. In the case of Virtual Employee Services, if the number of Your Virtual Employees exceeds 5, 3 months notice is required for termination of Services, else 1 month notice is required. No refund shall be given in the event of termination or cancellation.

5.2.You have the right to terminate the services of Your Virtual Employees with prior notice of 1 month. In case of seeking dismissal of more than 5 Virtual Employees, 3 months notice is required.

5.3.In the case of Virtual Employees Services, You agree to work with you Virtual Employees at your own risk. Crewind Communications is not liable for any disputes between Your Virtual Employees and You.

5.4.Crewind Communications may terminate these Terms at any time upon notice to You, if it is found that You have

Violated these Terms

Provided false information

Failed to pay your past dues

Engaged in unlawful activities or the sale of illegal or harmful goods or services; or Engaged in activities or sales that may damage the rights or reputation of Crewind Communications.

6. Warranty Disclaimer

YOU EXPRESSLY UNDERSTAND AND AGREE THAT:


A.THE WEBSITE, INFORMATION AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. CREWIND COMMUNICATIONS EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESSED OR IMPLIED.

B.YOUR USE OF THE SERVICE IS DONE AT YOUR OWN DISCRETION AND RISK, AND THAT YOU WILL BE SOLELY RESPONSIBLE FOR ANY RESULTING DAMAGES.CREWIND COMMUNICATIONS WILL NOT BE LIABLE FOR ANY DAMAGE TO YOUR COMPUTER(S), DATA, INFORMATION, AND BUSINESS RESULTING FROM USE OR INABILITY TO USE THE SERVICES OFFERED BY CREWIND COMMUNICATIONS.

7. Limitation of Liability


7.1. YOU EXPRESSLY UNDERSTAND AND AGREE THAT CREWIND COMMUNICATIONS AND ITS OFFICERS, DIRECTORS, SHAREHOLDERS, EMPLOYEES AND AGENTS, SHALL NOT BE LIABLE,UNDER ANY CIRCUMSTANCES OR LEGAL THEORIES WHATSOEVER, FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF BUSINESS, PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (i) THE USE OR THE INABILITY TO USE THE SERVICE; (ii) ERRORS, DEFECTS, OMISSIONS, DELAYS IN OPERATION OR TRANSMISSION, OR ANY OTHER FAILURE OF PERFORMANCE OF THE SERVICE OR THE SOFTWARE; (iii) THE COST OF PROCUREMENT OF SUBSTITUTE GOODS AND SERVICES RESULTING FROM ANY GOODS, DATA, INFORMATION, OR SERVICES PURCHASED OR OBTAINED OR MESSAGES RECEIVED OR TRANSACTIONS ENTERED INTO, THROUGH, OR FROM THE SERVICE; (iv) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA; (v) STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON THE SERVICE; (vi) ANY GOOD OR SERVICE OFFERED OR SOLD THROUGH THE SERVICE; OR (vii) ANY OTHER MATTER RELATING TO THE SERVICE OR SOFTWARE.
